Terms and Conditions of Sale – Vaggeryd Equipment (B2B)
Applicable to business customers within EUROPE.
These Terms and Conditions of Sale apply to the sale of products by Vaggeryd Equipment to business customers. By placing an order, the customer confirms that they are authorised to make purchases on behalf of the company.
The Swedish Sale of Goods Act (1990:931) applies to the extent applicable. The Swedish Consumer Sales Act and the Swedish Distance Contracts Act do not apply.
General Delivery Terms
- Orgalime S 2012, with the additions set out below.
- The majority of our products are manufactured to order. Delivery times therefore vary depending on the product and are stated on the relevant product page and confirmed in the order confirmation.
- The policy applies to all products, with certain additional provisions for customized products.
Products and Product Range
- Product availability and technical specifications may be changed without prior notice.
- Special orders or customized products may have longer delivery times.
- All products undergo manufacturing inspection and quality assurance to ensure functionality and safety.
Orgalime Terms
- By placing an order, the customer accepts that Orgalime S 2012 forms part of the agreement.
- In the event of any conflict between Orgalime and these Terms and Conditions of Sale, the following order of precedence shall apply:
1. Specific agreement or order confirmation
2. Vaggeryd Equipment's Terms and Conditions of Sale
3. Orgalime S 2012
Orders & Payment
- All prices are stated exclusive of VAT.
- Any customs duties and import charges are payable by the customer.
- Payment is made via Svea in accordance with the applicable payment terms.
- In the event of late payment, interest on arrears and reminder fees will be charged in accordance with Svea's standard terms.
- An order becomes binding when the customer has received an order confirmation.
- Vaggeryd Equipment reserves the right to reject or cancel an order in the event of incorrect information, lack of product availability or suspected fraud.
- Title to the products remains with Vaggeryd Equipment until full payment has been received.
- Additional services or customized products may incur additional charges.
- If you have any questions regarding an order, amendment or cancellation, our customer service team is available to provide prompt assistance.
Delivery Policy
Applicable to business customers within Europe.
This Delivery Policy sets out the terms regarding delivery, shipping, receipt of goods and handling of transport damage for products sold by Vaggeryd Equipment.
1. General
- This policy applies to all products sold through Vaggeryd Equipment.
- Product deliveries are subject to Orgalime S 2012, together with our supplementary provisions.
- B2B customers do not have a statutory right of withdrawal, and responsibility for receiving and inspecting goods is regulated accordingly reglerat.
2. Delivery Method
- Products are normally delivered by freight forwarder or carrier.
- We use trackable and insured deliveries where possible.
- Deliveries may be made from different warehouse locations and may therefore involve different transport partners.
3. Delivery Times
- Delivery times vary depending on the product, as the majority of our product range is manufactured to order.
- The estimated delivery time is stated on the relevant product page and is based on the product's production time and transport time.
- The final delivery time is confirmed in the order confirmation.
- For customized products or larger orders, the estimated delivery time will be provided as part of the quotation.
- We strive to deliver as quickly as possible and will keep you informed of any delays or deviations.
4. Delivery Delays
- Vaggeryd Equipment is not responsible for delays caused by carriers, customs procedures or other circumstances beyond our reasonable control.
- Customers will be informed as soon as reasonably possible in the event of a delay.
5. Unclaimed or Incorrectly Addressed Deliveries
- The customer is responsible for providing correct delivery information.
- Costs arising from unclaimed shipments or deliveries sent to an incorrectly provided address may be charged to the customer.
6. Shipping and Costs
- Shipping costs are stated in the order confirmation.
- Any customs duties and import charges are payable by the customer.
- The risk associated with transportation shall be borne by the customer. This also applies to partial deliveries or where we have undertaken to arrange the transportation. The risk shall pass to the customer at the latest when the delivery item is handed over to a freight forwarder, carrier or other third party appointed to carry out the transportation. The time at which loading commences shall be decisive for determining this point in time. This also applies to partial deliveries or where we have undertaken to arrange the transportation.
7. Receipt and Transport Damage
- Any transport damage must be documented with photographs and reported within 5 business days.
- Packaging must be retained until the matter has been resolved.

Returns and Claims Policy
Applicable to business customers within Europe.
This policy supplements our Terms and Conditions of Sale and sets out the terms regarding returns, claims, warranty matters and refunds.
1. General
- This policy applies to all products sold through Vaggeryd Equipment.
- B2B customers have no general statutory right of withdrawal under the Swedish Distance Contracts Act.
- Returns and claims are handled in accordance with this policy, with the aim of minimising operational disruption for the customer's business.
2. Returns of Non-Defective Products
- Important: Business customers have no statutory right to return non-defective products.
- In exceptional cases, Vaggeryd Equipment may accept the return of non-defective, non-customised products as a service. Returns are accepted only with Vaggeryd Equipment's express prior approval.
- Conditions for an approved return:
o The product must be unused and in new condition.
o The original packaging must be intact.
o The return must be requested within 14 days of delivery.
o The customer is responsible for return shipping costs.
o An administrative fee may be charged (15–25% of the product value).
- Returns that do not meet these requirements may be rejected.
3. Claims (defective products)
- Claims must be submitted in writing to customer support and include:
o Order number (and tracking number, if available)
o Company Name
o Description of the defect
o Photographs or video footage
- Time limits:
o Visible defects must be reported within 5 business days.
- Following an assessment, Vaggeryd Equipment may decide on:
o Repair
o Replacement
o Price reduction
o Refund
- Vaggeryd Equipment will cover shipping costs only where the claim has been approved.
4. Transport Damage
- The customer must inspect the goods upon receipt.
- Transport damage must be documented with photographs and reported within 5 business days.
- The carrier's terms and conditions apply. Packaging must be retained until the matter has been resolved.
5. Refunds
- Where a return or claim has been approved, the refund will be made using the same payment method used for the purchase – Svea.
- Timeframe: 5–10 business days after the returned product has been received and approved.
- Deductions may be made for:
o Administrative fees
o Shipping costs
o Damage or wear
6. Unauthorized or Rejected Returns
- Returns made without prior approval will not be credited.
- Products may be returned to the customer at the customer's expense if the return is not approved.

Warranties
- Our products are covered by a 12-month warranty, provided that the products have been used correctly and have not been modified.
- The warranty does not cover normal wear and tear, defects caused by improper use, damage occurring after delivery or consequential damage.
- Examples of what the warranty may cover include repair or replacement of defective parts.
Limitation of Liability
- Vaggeryd Equipment is not liable for indirect damage, production downtime, loss of profit or consequential losses.
- Our maximum liability is limited to the purchase price of the relevant product.
- This limitation applies to all products.
Force Majeure
Vaggeryd Equipment shall not be liable for obstacles or circumstances beyond our reasonable control, such as natural disasters, war, government decisions, supplier delays or disruptions to transportation.
Governing Law and Dispute Resolution
- Any dispute shall first be resolved through negotiations between the parties.
- If the dispute cannot be resolved through negotiation, any dispute arising out of or in connection with this agreement shall be finally settled by arbitration in accordance with the SCC Rules for Expedited Arbitration of the SCC Arbitration Institute.
- The seat of arbitration shall be Örebro, Sweden.
- The language of the proceedings shall be Swedish.
- Swedish law shall apply to the dispute.
